1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the services, websites, and applications (collectively, the “Service”) provided by Undervaluable Inc. (“Undervaluable,” “we,” “us,” or “our”). By registering for an account or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please refrain from using the Service.

2. Description of Service

Undervaluable offers an investment research automation platform (“Software”) available on a monthly or annual subscription basis (the “Subscription”). Our Service provides tools, data, and automated research workflows to assist you in your investment research. Our Service is provided on a software-as-a-service (SaaS) basis and is accessible via web browser.

3. Eligibility & Account Registration

You must be at least 16 years old to use our Service. By registering an account, you represent and warrant that you meet this age requirement. When creating an account, you agree to provide accurate and current information, including your name and timezone. You may register using OAuth (Google, LinkedIn, Facebook, etc.) or through a username and password. You are responsible for safeguarding your login credentials and for all activities that occur under your account.

4. Payment & Subscription

We use Stripe to process payments for Subscriptions. By subscribing, you authorize Stripe to charge your credit card or other provided payment methods for the applicable fees (monthly or annually) in accordance with our pricing terms. All payment information is collected and processed by Stripe in accordance with their privacy policy. Undervaluable does not store your full payment details.

Subscription Renewals: Unless otherwise indicated, your Subscription will automatically renew at the end of the billing period. You may cancel your Subscription at any time, but no refunds will be provided for partial subscription periods unless required by law.

5. License & Intellectual Property

Undervaluable grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal use, subject to these Terms. All intellectual property rights in and to the Service (including all software, data, and content provided through the Service) remain the exclusive property of Undervaluable or its licensors. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission.

6. User Conduct

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe upon the intellectual property rights of others.
• Upload or transmit any harmful or disruptive code (e.g., viruses, malware).
• Engage in any behavior that could disable, overburden, or impair the Service.

7. Data & Privacy

We collect and use personal information in accordance with our Privacy Policy. By using the Service, you consent to our collection and use of personal data as outlined therein. We collect minimal browser data through cookies, and we utilize analytics and observability services (such as Vercel, Google Analytics, and Hotjar) to help improve our Service. EU customer data is stored within the EU to comply with GDPR requirements.

No Financial Advice: The Service is intended to automate and facilitate investment research but is not a substitute for professional financial advice. Undervaluable assumes no responsibility for any decisions you make based on the content provided.

No Warranties: The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by law, Undervaluable, its affiliates, and its officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation lost profits, data loss, or any other damages or losses arising from your use or inability to use the Service. In no event shall our aggregate liability for all claims relating to the Service exceed the total amount paid by you for the Subscription in the 12 months preceding the event giving rise to the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Undervaluable, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Termination

We reserve the right, in our sole discretion, to suspend or terminate your access to the Service at any time if you violate these Terms or if your actions may harm Undervaluable or other users. You may also terminate your account at any time through your account settings or by contacting hello@undervaluable.com. Upon termination, your right to use the Service will cease immediately. Sections intended by their nature to survive termination shall continue in full force and effect.

12. Changes to the Service and Terms

We may modify the Service, add or remove features, or update these Terms from time to time. If we make material changes to these Terms, we will provide notice (e.g., by email or via our website). By continuing to use the Service after any modifications to these Terms become effective, you agree to be bound by the revised Terms.

13. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or in connection with them shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware to resolve any dispute or claim arising from these Terms.
